XmartPro Terms of Service

Please read these Terms of Service (“Terms”)
carefully before using XmartPro (the “Service”), including any
XmartPro websites, applications, and related services where these Terms are
posted.
The Service is operated by Cognitive Maxi
Solutions LLC (“Cognitive Maxi Solutions,” “Company,” “we,”
“us,” or “our”).

By accessing or using XmartPro, you agree to be
bound by these Terms. If you do not agree, do not use the Service.
1. Conditions of Use (Acceptance of
Terms)
By using XmartPro, you confirm that you have read,
understood, and agree to comply with these Terms. We may provide access to the
Service only to users who accept these Terms.
If you are using XmartPro on behalf of a company,
organization, or other entity, you represent and warrant that you have
authority to bind that entity to these Terms. In that case, “you” includes the
entity.
2. Privacy Policy
Your use of XmartPro is also subject to our Privacy
Policy, which explains how we collect, use, and share information. The
Privacy Policy is incorporated into these Terms by reference.
3. Age Restriction
You must be at least 18 years old to use
XmartPro. By using the Service, you represent that you are at least 18 and
legally able to enter into these Terms. We are not responsible for any
liabilities related to age misrepresentation.
4. Intellectual Property
4.1 Company Materials
All materials, software, design elements, text,
graphics, logos, trademarks, and other content provided by or through XmartPro
(excluding User Content, defined below) are owned by Cognitive Maxi Solutions
or its licensors and are protected by intellectual property laws.
You agree not to copy, modify, distribute, sell,
lease, reverse engineer, or create derivative works from the Service or any
Company materials unless expressly permitted by us in writing.
4.2 Your Content
“User Content” means any data, text, files,
images, documents, or other content you (or your organization) upload, submit,
transmit, or store in XmartPro.
As between you and the Company, you retain
ownership of your User Content (subject to any rights of third parties).
4.3 License You Grant Us
You grant Cognitive Maxi Solutions a royalty-free,
worldwide, non-exclusive license to host, store, reproduce, process,
transmit, display, and otherwise use your User Content only as necessary
to:
- provide and operate XmartPro,
- secure, maintain, and improve the Service,
- perform support and troubleshooting,
- comply with legal obligations, and
- enforce these Terms.
If you contact us for support and provide content
(including screenshots, logs, or attachments), you grant us the same limited
license for support purposes.
If you believe your intellectual property has been
infringed, contact us through our “Contact Us” page or at the email listed in
Section 13.
5. User Accounts
To use certain features of XmartPro, you may need
to create an account and provide information that is accurate and complete.
You are responsible for:
- maintaining the confidentiality of your login
credentials,
- restricting access to your account, and
- all activity that occurs under your account.
If you believe your account has been compromised or
there is unauthorized access, notify us immediately.
We may suspend or terminate accounts, remove
content, or restrict access at our sole discretion, as permitted by law and any
applicable contract with your organization.
6. Acceptable Use
You agree not to misuse XmartPro. You will not (and
will not allow others to):
- violate any applicable law or regulation;
- infringe intellectual property or privacy rights;
- upload malware, exploit vulnerabilities, or disrupt the
Service;
- attempt unauthorized access to accounts, systems, or
data;
- scrape or harvest data from the Service without
permission;
- use XmartPro to transmit unlawful, harmful, or deceptive
content; or
- interfere with security-related features or access
controls.
We may investigate violations and suspend or
terminate access to protect the Service, our users, or others.
7. Third-Party Services and Links
XmartPro may integrate with or link to third-party
services (e.g., identity providers, integrations, analytics tools). Your use of
third-party services is governed by their terms and policies. We are not
responsible for third-party services, availability, or practices.
8. Availability and Changes to the
Service
We may update, modify, suspend, or discontinue
parts of XmartPro at any time. We try to minimize disruptions, but the Service
may occasionally be unavailable due to maintenance, upgrades, or factors
outside our control.
9. Disclaimer of Warranties
XmartPro is provided on an “AS IS” and “AS
AVAILABLE” basis.
To the maximum extent permitted by law, Cognitive
Maxi Solutions disclaims all warranties, express or implied, including
warranties of merchantability, fitness for a particular purpose,
non-infringement, and that the Service will be uninterrupted, error-free, or
secure.
10. Limitation of Liability
To the maximum extent permitted by law, Cognitive
Maxi Solutions will not be liable for any indirect, incidental, special,
consequential, or punitive damages, including loss of profits, revenue, data,
goodwill, or business interruption, arising out of or related to your use of
(or inability to use) XmartPro.
To the maximum extent permitted by law, our total
liability for any claims arising out of or related to these Terms or the
Service will not exceed the amount you paid to us for the Service in the 12
months preceding the event giving rise to the claim (or $100 if you
have not paid us).
Some jurisdictions do not allow certain
limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless
Cognitive Maxi Solutions and its affiliates, officers, directors, employees,
and agents from and against claims, liabilities, damages, losses, and expenses
(including reasonable attorney’s fees) arising from:
- your use or misuse of XmartPro,
- your User Content,
- your violation of these Terms, or
- your violation of any law or third-party rights.
We reserve the right to assume the exclusive
defense and control of any matter subject to indemnification, and you agree to
cooperate.
12. Governing Law and Disputes
These Terms are governed by the laws of the State
of Illinois, USA, without regard to conflict-of-law principles.
Any dispute arising out of or related to these
Terms or your use of XmartPro will be brought exclusively in the state or
federal courts located in Illinois, and you consent to personal
jurisdiction and venue in those courts.
13. Changes to These Terms
We may update these Terms from time to time. If we
make material changes, we may notify you through the Service or via email
(where appropriate). Your continued use of XmartPro after changes become
effective constitutes acceptance of the updated Terms.
